Terms of Service

Last updated September 29, 2026

Draft. This document is a placeholder pending legal review and is not yet in effect.

These Terms of Service (“Terms”) govern your access to and use of the Direct Axess website at directaxesshealth.com and the Direct Axess referral platform (together, the “Service”), provided by Direct Axess Health LLC (“Direct Axess,” “we,” “us”). By using the Service you agree to these Terms.

1. The Service

Direct Axess lets referring healthcare providers send patient referrals to specialist practices, and lets specialist practices receive, manage and respond to them. Direct Axess is a communication and workflow tool. It does not provide medical advice, and clinical decisions remain the responsibility of the licensed professionals using it.

2. Accounts

  • You must provide accurate information, including a valid National Provider Identifier where required.
  • Each person uses their own account. Sharing sign-in credentials is not permitted.
  • Two-step sign-in is required on every account.
  • You are responsible for activity under your account and for keeping your credentials secure.

3. Protected health information

Use of the platform to create, receive, maintain or transmit protected health information is governed by our Business Associate Agreement, which every organization accepts at signup. Where these Terms and the BAA conflict regarding protected health information, the BAA controls.

4. Acceptable use

You agree not to:

  • use the Service for anything other than legitimate patient referral and care coordination;
  • submit information you are not authorized to share;
  • attempt to access data belonging to another organization or user;
  • interfere with, probe or disrupt the Service or its security controls; or
  • upload malicious code or files.

5. Fees

[Referring provider fees — to be confirmed before launch.] Specialist practices and optional add-ons are billed on a subscription basis at the prices shown at signup, after any free trial. [Billing terms, renewal, taxes and refund policy — to be completed by counsel.]

6. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. [Data retention and return on termination — to be aligned with the BAA.]

7. Disclaimers and limitation of liability

[To be drafted by counsel.]

8. Governing law

[State] law governs these Terms. [Venue and dispute resolution — to be drafted by counsel.]

9. Changes

We may update these Terms. We will post the updated version here and change the date above; material changes will be communicated to account holders.

10. Contact

[Contact details to be published at launch.]
